1. Acceptance of terms

By accessing or using black-ninja.ca and its games (collectively, the "Platform"), you agree to be bound by these Terms & Conditions and our Privacy and Cookie policies. If you do not agree, please do not use the Platform. Black Ninja Interactive Inc. may update these terms from time to time, and continued use constitutes acceptance of any changes.

2. Nature of the service

Black Ninja is a free social casino offering casino-style games for entertainment purposes only. The Platform uses virtual coins that have no monetary value. There is no real-money gambling, no wagering of real funds and no opportunity to win cash or prizes of monetary value.

3. Eligibility and age requirement

You must be at least 18 years old to use the Platform. By using Black Ninja you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these terms. We reserve the right to restrict access where use would be unlawful.

4. Virtual coins

Virtual coins are a licensed feature of the Platform provided to you for entertainment. They are not your property, cannot be redeemed for real money, goods or services, and cannot be transferred or sold. We may adjust, expire or remove virtual coins at our discretion, and they top up automatically at no charge.

5. Acceptable use

You agree to use the Platform lawfully and respectfully. You must not attempt to disrupt the service, reverse-engineer the games, use bots or automation, exploit bugs, or access the Platform through unauthorised means. We may suspend or terminate access for any conduct that we reasonably consider harmful to the Platform or other users.

6. Accounts and security

If the Platform offers any form of saved profile, you are responsible for maintaining the confidentiality of your access and for all activity that occurs under it. You agree to notify us promptly of any unauthorised use. We are not liable for losses arising from your failure to safeguard your access.

7. Intellectual property

All content on the Platform — including the Black Ninja name, logo, game designs, graphics, text and software — is owned by or licensed to Black Ninja Interactive Inc. and is protected by intellectual-property laws. You may not copy, modify, distribute or create derivative works without our prior written permission.

8. Third-party links and partners

The Platform may contain links to third-party websites, including partner casinos. These links are provided for convenience and may generate referral fees for us. We do not control and are not responsible for the content, services or practices of third-party sites, and your use of them is at your own risk and subject to their terms.

9. No gambling and no guarantees of winnings

Because Black Ninja is a social casino, nothing on the Platform constitutes gambling, betting or a game of chance for money. Practising or succeeding at our free games does not imply any likelihood of success should you choose to gamble with real money elsewhere. Gambling can carry financial risk and is regulated differently across jurisdictions.

10. Disclaimer of warranties

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Platform will be uninterrupted, error-free or free of harmful components, although we work to keep it reliable and secure.

11. Limitation of liability

To the fullest extent permitted by law, Black Ninja Interactive Inc. will not be liable for any indirect, incidental, special or consequential damages arising from your use of, or inability to use, the Platform. Because the Platform is free and uses no real money, our total liability to you is limited to the maximum extent allowed by applicable law.

12. Indemnification

You agree to indemnify and hold harmless Black Ninja Interactive Inc., its officers, employees and partners from any claims, losses or expenses arising out of your breach of these terms or your misuse of the Platform.

13. Suspension and termination

We may suspend, restrict or terminate your access to the Platform at any time, with or without notice, if we believe you have violated these terms or if we discontinue the service. Provisions that by their nature should survive termination will continue to apply.

14. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.
